You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use our services. By engaging BearSolutions, you represent and warrant that you meet these requirements.

3. Use of the Site

You agree not to:

  • Use the Site for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Site or its infrastructure
  • Transmit any harmful, offensive, or disruptive content
  • Reproduce, copy, or distribute any content from the Site without prior written permission

4. Intellectual Property

Work product created specifically for a client under a signed agreement is owned as specified in that agreement. Unless otherwise stated, BearSolutions retains ownership of all tools, frameworks, templates, and methodologies used in delivering services.

5. Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for us to deliver services
  • Grant us the permissions and access required to perform agreed work
  • Ensure that any materials you provide do not infringe third-party intellectual property rights
  • Review and approve deliverables within the timelines specified in your agreement
  • Pay invoices according to agreed payment terms

6. Payment Terms

Fees are outlined in your individual service agreement or proposal. Unless otherwise agreed:

  • Invoices are due within 14 days of issue
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to pause or terminate services for overdue accounts
  • All fees are non-refundable unless expressly stated otherwise in your agreement

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the relationship. It does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Third-Party Platforms

Our services often involve managing campaigns on third-party platforms (Google, Meta, etc.). Your use of those platforms is governed by their respective terms of service. BearSolutions is not responsible for changes to third-party platform policies, algorithms, or pricing that affect campaign performance.

9. Disclaimer of Warranties

The Site and services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee specific results from any marketing campaign. Digital advertising and SEO results depend on many factors outside our control, including market conditions, competition, and platform algorithm changes.

10. Limitation of Liability

To the fullest extent permitted by law, BearSolutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Site or services. Our total liability to you for any claim shall not exceed the fees paid by you to us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless BearSolutions, its members, employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Site, or your infringement of any third-party rights.

12. Termination

Either party may terminate a service engagement with written notice as specified in the relevant service agreement. We reserve the right to terminate or suspend access to the Site immediately, without notice, for any violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Texas, USA, and you consent to the personal jurisdiction of such courts. For clients based in the European Union, nothing in these Terms limits your rights under applicable EU consumer protection or data protection laws.

14. Changes to These Terms

We may update these Terms at any time. The "last updated" date at the top of this page will reflect any changes. Continued use of the Site or services after changes are posted constitutes acceptance of the revised Terms.
